The government is set to roll out a series of legal and structural reforms aimed at restoring confidence in the capital market and strengthening investor protection.
Finance Minister Amir Khosru Mahmud Chowdhury told parliament on Monday that three major laws and regulations are being finalised as part of a broader reform drive to streamline oversight and improve market discipline.
At the centre of the initiative is the proposed BSEC Act 2025, which will consolidate and replace existing legislation by merging the 1969 ordinance and the 1993 act. Alongside it, the Capital Market Stabilisation Fund Act 2026 will introduce a structured framework for managing undistributed dividends and shares.
A third measure—the Whistleblower Protection Regulation 2026—aims to encourage transparency by safeguarding individuals who report irregularities in the market.
The minister also said updated Corporate Governance Rules 2026 are in the pipeline to enhance accountability and compliance among listed companies.
Beyond legal reforms, the government is pursuing a broader strategy to deepen the market. Plans are underway to bring fundamentally strong private companies, as well as state-owned enterprises, to the stock exchanges to increase market depth and liquidity.
Authorities are also working to diversify investment instruments. Upcoming products include exchange-traded funds (ETFs), Islamic bonds, green bonds, and both commodity and financial derivatives, alongside efforts to further develop the bond market.
To curb manipulation and improve transparency, enforcement and investigation activities will be strengthened, supported by full digitalisation of market operations to ensure easier access for both local and foreign investors.
Investor education is another key focus. The government plans to integrate investment literacy into academic curricula, launch nationwide training programmes for young entrepreneurs, and expand awareness campaigns through television and social media.
“We expect these coordinated reforms to rebuild confidence and position the capital market as a sustainable driver of economic growth,” the minister said.
